Department Overview
The Enterprise Compliance and Governance organization within Enterprise Risk and Compliance establishes enterprise standards, procedures, and expectations while also enabling consistent program outcomes, 3rd Layer of defense-owned validation and insights, and support enterprise regulatory program ownership where dedicated expertise is required.
The organization connects regulatory obligations, commitments, controls, issues, corrective actions, and executive reporting into PG&E’s broader compliance architecture. It is intended to lead the Layers of Defense structure that clarifies each layer, responsibilities, decision making models, strengthen key feedback loops between the Layers of Defense, improve enterprise transparency, and create a strong Layer of defense process from commitment ownership through validation, escalation, reporting, and continuous improvement.
Position Summary
The Senior Director, Enterprise Compliance and Governance will lead the Enterprise Compliance and Governance organization and be accountable for advancing an integrated compliance governance model across PG&E. This leader will set enterprise compliance expectations, oversee compliance operations and program management capabilities, strategy, mature the Third Layer of Defense Program, and coordinate enterprise compliance programs that require dedicated regulatory expertise, regulator engagement, and program-specific governance.
The role requires a strategic, enterprise-minded leader who can operate across Functional Areas, Customer and Corporate Affairs, Legal, Risk, Assurance, Internal Audit, technology partners, and executive leadership to strengthen compliance performance, clarify ownership, improve evidence quality, drive corrective action effectiveness, and translate compliance insights into leadership and Board-level reporting.
This position is hybrid, working from your remote office and your assigned work location based on business need. The assigned work location will be within the PG&E Service Territory.
Reporting
The Senior Director, Enterprise Compliance & Governance reports directly to the Senior Vice President, Enterprise Risk & Compliance and will lead a team of professionals to execute the work.
Job Responsibilities
- Establish and maintain the enterprise compliance framework, governance model, regulator strategy, standards, methodology, committee routines, escalation practices, and leadership reporting expectations.
- Define clear roles, decision rights, and separation of duties across enterprise compliance, Customer and Corporate Affairs, Legal advisory partners, Functional Area compliance teams, risk partners, assurance functions, and Internal Audit.
- Oversee compliance operations capabilities, including standards and guidance management, GRC workflow enablement, reporting and analytics, training and awareness support, PMO coordination, and continuous improvement initiatives while partnering with Customer and Corporate Affairs,
- Mature the 3rd Layer of Defense Program by establishing risk-based monitoring, controls testing, evidence quality review, program effectiveness validation, corrective action oversight, repeat-issue analysis, and assurance insights.
- Coordinate enterprise compliance programs that require dedicated regulatory expertise, regulator engagement, and program-specific governance, including programs such as Privacy, NERC/WECC, TSA, FERC, and other State and federal regulatory programs (CAISO, CEC, CPUC, etc) where enterprise processes are needed while partnering with Customer and Corporate Affairs,
- Build and maintain an integrated inventory or common register of priority obligations, controls, issues, corrective actions, monitoring activities, assurance outcomes, and program risks to support enterprise visibility and escalation.
- Use compliance data, trends, KPIs/KRIs, root cause insights, maturity assessments, and lessons learned to support prioritization, program improvement, and executive decision-making.
- Partner with Functional Areas to enable consistent ownership and execution of compliance obligations, controls, procedures, issue identification, mitigation, and evidence management.
- Partner with Risk and Assurance teams to connect compliance-related obligations and issues into PG&E's broader risk architecture and leadership reporting cadence.
- Lead governance, adoption, and continuous improvement for compliance technology and tracking systems, including MetricStream and related GRC workflows where applicable.
- Prepare clear, concise, executive-ready materials for senior leadership, governance forums, Officer Committees, and Board-level discussions as appropriate.
- Develop and coach a high-performing team, build capability, accountability, collaboration, and trusted partnerships across the enterprise.
Background Qualifications
Minimum
- BA/BS degree or equivalent work experience in Management, Business, Finance, Risk, Compliance, Law, Public Policy, Engineering, Operations, or a related discipline.
- 10 or more years of relevant business experience in compliance, risk management, audit, assurance, regulatory program management, governance, operations, or a related field.
- Leadership experience managing teams, enterprise programs, cross-functional initiatives, or governance routines in a complex, regulated environment.
Desired
- Demonstrated experience influencing senior leaders, Functional Areas, and enterprise partners on compliance, risk, governance, controls, corrective actions, or assurance topics.
- Strong knowledge of compliance management systems, regulatory governance, controls, monitoring, testing, issue management, corrective action validation, and assurance practices.
- Experience designing or maturing enterprise compliance frameworks, governance structures, risk-based monitoring programs, or three-lines/layers-of-defense operating models.
- Ability to translate complex regulatory, compliance, operational, risk, and assurance information into clear executive and Board-level insights.
- Demonstrated ability to clarify roles, decision rights, and accountabilities across functions with overlapping responsibilities.
- Experience with GRC tools, MetricStream, reporting dashboards, workflow governance, data quality, or compliance technology adoption.
- Strong stakeholder management skills, including ability to build trusted relationships with Legal, Risk, Assurance, Internal Audit, IT, and Functional Area leaders.
- Excellent written and verbal communication skills, including ability to produce concise, executive-ready materials and facilitate complex discussions.
- Demonstrated continuous improvement mindset, including ability to identify process gaps, solve ambiguous problems, and implement sustainable improvements.
- Certified Compliance and Ethics Professional, Certified Internal Auditor, Certified Risk Management Assurance, Certified Risk and Compliance Management Professional, or similar certification preferred.

Compensation
PG&E is providing the salary range that the company in good faith believes it might pay for this position at the time of the job posting. This compensation range is specific to the locality of the job. The actual salary paid to an individual will be based on multiple factors, including, but not limited to, specific skills, education, licenses or certifications, experience, market value, geographic location, and internal equity.
We estimate the successful candidate hired into this role will be placed within the reasonable compensation range of $222K to $319K. The decision will be made on a case-by-case basis. This leadership role is also eligible for an annual Short Term Incentive Plan (STIP) award, as well as the Long Term Incentive Plan (LTIP) grant.
