Department Overview

 

PG&E’s Law Department provides timely, efficient and business-focused legal services to the company. The Corporate and Finance legal team provides transactional and strategic support across a broad spectrum of matters, including finance transactions and securities offerings, public company disclosure and securities compliance, quarterly earnings releases, Board and company governance, executive compensation and employee benefits.

 

Position Summary

 

The Law department is seeking a Senior-level Corporate and Finance teammate with a demonstrated track record in planning and executing corporate finance transactions and securities offerings who will be responsible primarily for providing legal advice and representation to the company’s Finance team on all capital market offerings and other corporate finance and strategic transactions for one of the nation’s largest utility companies.

 

The Senior Counsel will join a supportive, inclusive, and highly engaged Corporate and Finance practice group that actively interfaces with the executive officer team, the Boards of Directors, internal clients, outside counsel, financial advisors, investors, and counterparties.  This intellectually curious, nimble team member who has experience managing moderate to complex corporate finance transactions and securities offerings and who desires to develop a well-rounded and robust corporate transactional practice will grow professionally with the support and mentoring of attorneys and other professionals as they address cutting-edge legal issues in nationally visible work.

 

This position is hybrid, working from your remote office and your assigned work location based on business need. The assigned work location will be at the company’s headquarters, the Oakland General Office (OGO). One day a week in the office is required.

 

Reporting

 

This position reports to the Managing Counsel for Corporate and Finance. This is an individual contributor position.

 

Job Responsibilities 

 

  • Leading Corporate Finance Transactions: Plan and execute moderate to complex corporate finance transactions and securities offerings, ensuring compliance with all regulatory requirements.
  • Ensuring Legal and Regulatory Compliance: Provide expert legal guidance on SEC reporting requirements, NYSE and NYSE Amex exchange listing standards, and other regulatory compliance matters.
  • Governance and Corporate Strategy: Develop and implement governance strategies, prepare Board and Finance Committee meeting materials, and advise on company governance requirements and processes.
  • Transactional Guidance and Support: Offer comprehensive transaction guidance, including advising on dividends, collaborating with Investor Relations on capital market transactions, and drafting a wide range of business agreements.
  • Drafting and Reviewing Legal Documents: Draft and review legal and governance documents, including memoranda, internal guidance documents, and regulatory compliance filings.
  • Managing External Legal Resources: Coordinate and manage outside counsel on specific proceedings or issues, ensuring seamless integration into the broader legal team.
  • Project Management: Utilize strong project management skills to oversee and drive legal projects to successful completion, ensuring timely delivery and adherence to budget 

Background Qualifications

 

Minimum

 

  • Bachelor’s degree and Juris Doctor (JD) degree from an accredited law school
  • Ten (10) years of relevant legal experience, post-JD, or other job-related experience
  • Experience practicing as Attorney, 7 years
  • Law Bar admission, US

 

Desired

 

  • Experience in complex financing legal matters
  • Licensed to practice law in California or have Registered In-House Counsel permit, CA
  • Experience working with senior leaders

Compensation

 

PG&E is providing the salary range that the company in good faith believes it might pay for this position at the time of the job posting. This compensation range is specific to the locality of the job. The actual salary paid to an individual will be based on multiple factors, including, but not limited to, specific skills, education, licenses or certifications, experience, market value, geographic location, and internal equity. 

 

We estimate the successful candidate hired into this role will be placed within the reasonable compensation range of $204,800-$294,400. The decision will be made on a case-by-case basis.  This leadership role is also eligible for an annual Short Term Incentive Plan (STIP) award, as well as the Long Term Incentive Plan (LTIP) grant.
